James E. Copeland, Jr.

JAMES E. COPELAND, JR.

Jim Copeland retired as Chief Executive Officer of Deloitte & Touche USA LLP (Deloitte & Touche USA) and its global parent, Deloitte Touche Tohmatsu (Deloitte) on May 31, 2003.

During his tenure, Jim guided Deloitte through a period of the greatest revenue growth in the organization's history and oversaw the move from being the fifth to the second-largest professional services organization in the world. He also led the Task Force to define and articulate the Deloitte & Touche USA culture, which contributed to the organization becoming recognized as one of FORTUNE magazine's "100 Best Companies to Work For" for each of the six years from 1998 through 2003. Jim also received recognition for further advancing Deloitte & Touche USA's Women's Initiative and helped to lead the profession in the appointment of women to partner-level positions.

Jim currently serves as a member of the Board of Directors for ConocoPhillips, Time Warner Cable and Equifax, Inc. Additionally, he is Chairman of the Audit Committee and on the Executive Committee of these companies. Previously, Jim served on the Board of Directors of Coca-Cola Enterprises, Inc. where he chaired the Compensation Committee and Affiliated Transaction Committee and served on the Audit Committee and Directors Affairs Committee.

 

William E. McCracken

WILLIAM E. MCCRACKEN

William E. McCracken is the independent Chairman of the Board at CA, Inc., one of the world's largest information technology management software companies. Bill joined CA's Board of Directors in 2005, became Chairman in 2007, and also served as chairman of its special litigation committee.

Prior to joining CA, Bill held numerous executive positions at IBM during his 36-year tenure, most recently as a member of the Chairman's Worldwide Management Council and general manager of IBM's printing division. He previously served as president of IBM's EMEA and Asia PC Company and as the general manager, marketing, sales and distribution for IBM PC Company.

Bill is active in the National Association of Corporate Directors, is a commissioner of the 2009 Blue Ribbon Commission on Risk Governance, and is a member of the board of NACD-NJ. He is also a participant in the Chairmen’s Forum of the Millstein Center for Corporate Governance and Performance at the Yale School of Management.

Bill is the president of Executive Consulting Group, LLC, and was a director of IKON Office Solutions. He is board chairman of Lutheran Social Ministries of New Jersey, a member of the New Jersey State Anti-Poverty Network, and a former president of the board of Plainfield Habitat for Humanity.

PATRICK S. McGURN

Patrick S. McGurn is Special Counsel at RiskMetrics Group (RMG). As the recognized standard in financial risk management, RMG has earned the trust and respect of over 2,300 institutional investor clients, including a broad range of investment managers, advisory and private wealth managers, mutual fund complexes, hedge funds and pension funds.

Prior to joining RMG/ISS in 1996, Pat was director of the Corporate Governance Service at the Investor Responsibility Research Center (IRRC), a not-for-profit firm that provided governance research to investors. He also served as a private attorney, a congressional staff member and a department head at the Republican National Committee. Pat serves on the Advisory Board of the National Association of Corporate Directors and was a member of the NACD¡¯s 2001 Blue Ribbon Commission on Board Evaluations.
